The GCOT Board of Directors exercise strategic oversight over business operations while directly measuring and rewarding management’s performance and simultaneously ensure compliance with the legal framework, integrity of financial accounting and reporting systems and credibility in the eyes of the stakeholders through proper and timely disclosures. It’s responsibilities inherently demand the exercise of judgment. Board has been vested with a reasonable level of discretion. The behavioural norms that include informed and deliberative decision making, division of authority, monitoring of management and even-handed performance of duties owed to the company as well as the shareholders are equally important.
Any person / institution, who intend to serve the society with the objectives of the GCOT, can get membership first and after providing a reasonable efforts in the activities of the GCOT may be elected by the shareholders of the GCOT for the position of Directorship.
The Board of Directors of GCOT comprises of the Executive, Non-Executive and nominee directors. The nominee directors are those who have been nominated by the Institutions, Government Organisations, Non-Government Organisations, Personal capacity who shall be having the directorship in the Board with a voting right in respect of subjects restricted to their institution / organisation only. The nominee directors shall take part in all the board meetings, express their views and thoughts to the Board on any of the objectives of the agenda.
Any shareholder or other interested party who wishes to communicate with the Board, the executive directors, or the non-executive directors regarding the company can do so by writing to such person(s) at the following address. Communications with the Board, the executive directors or the non-executive directors may be sent anonymously and are not screened. Such communications will be distributed to the specific director(s) requested by the shareholder or interested party or to a session of executive directors or non-executive directors as a group, after it has been determined that the content represents a message to the intended recipient(s).
